Commercial Terms & Conditions · 商业条款
- Packing: Export-standard packaging suitable for international transportation.
- Inspection: Seller's pre-shipment inspection. Independent inspection is available at buyer's cost if requested before shipment.
- Quality & Claims: Goods shall conform to the confirmed specifications and approved samples. Quantity or quality claims must be made in writing with evidence within 7 days after receipt.
- Documents: Commercial Invoice; Packing List; Transport Document; Certificate of Origin and other documents if expressly agreed.
- Risk & Title: Risk and costs transfer in accordance with the selected Incoterms® 2020 rule. Title to the goods transfers only after full cleared payment.
- Import Compliance: Buyer is responsible for destination-country import licences, product compliance, duties and taxes unless the selected Incoterms® rule expressly allocates them to seller.
- Force Majeure: Neither party is liable for delay or failure caused by events beyond reasonable control, provided prompt notice and reasonable mitigation are undertaken.
- Governing Law: Laws of the People's Republic of China
- Dispute Resolution: Good-faith negotiation; if unresolved, final arbitration by CIETAC in English under its rules. The award shall be final and binding.
- Remarks: Packaging, colours, samples, labelling and any special requirements are subject to written confirmation.
